  1. Scope; Acceptance

These Terms & Conditions (“Terms”) govern your access to and use of the website located at https://wingmanwealthfunds.com (the “Site”), and any related investor portals, communications, content, tools, or services made available through the Site (collectively, the “Services”). By accessing or using the Site or Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Site or Services.

  1. Who We Are

The Services are provided by: (i) Wingman Wealth Funds, LLC (“Wingman Wealth Funds”), a fund manager that manages self-storage investment strategies and related operations; and (ii) Wingman Investment Fund 1, LLC (“Wingman Investment Fund 1” or the “Fund”), the investment vehicle through which investors may purchase interests and participate in self-storage investments managed by Wingman Wealth Funds. Wingman Wealth Funds, LLC and Wingman Investment Fund 1, LLC are Delaware limited liability companies operating in Georgia. Unless the context requires otherwise, “Wingman,” “we,” “us,” or “our” refers to one or both entities, as applicable.

  1. Important Securities Disclosure (Regulation D Rule 506(c))

Any offering of interests in the Fund is intended to be made under Regulation D, Rule 506(c) under the U.S. Securities Act of 1933, as amended, and is made only by means of the Fund’s governing documents and offering materials (the “Fund Documents”). Nothing on the Site is intended to be, and should not be construed as, an offer to sell or a solicitation of an offer to buy any security in any jurisdiction where such offer or solicitation would be unlawful.

For U.S. persons, investments are available only to accredited investors (as defined in Regulation D). We (or our service providers) may require documentation to verify accredited investor status before accepting any subscription.

If there is a conflict between these Terms and the Fund Documents, the Fund Documents control with respect to investment-related matters.

You should consult your own professional advisors before making any decision.

  1. Risk of Loss; No Performance Guarantees

Investing in private offerings and real estate-related investments involves substantial risk, including the risk of losing all or a portion of your investment. Past performance is not indicative of future results. No representation is made that any investment will achieve results or returns, and no assurance can be given that any investment objective will be achieved.

  1. Accounts; Identity and Verification

Certain features may require you to create an account or access a third-party investor portal (including Avestor) and/or communications systems (including Go High Level (GHL)). You agree to provide accurate information and to maintain the confidentiality of your login credentials. You are responsible for all activity that occurs under your account.

  1. Acceptable Use

You agree not to:

  • Use the Site or Services in any way that violates applicable law or regulation.
  • Misrepresent your identity, accredited investor status, or any information you provide to Wingman.
  • Attempt to gain unauthorized access to any accounts, systems, or networks.
  • Introduce malware, viruses, or other harmful code.
  • Use automated means (bots, scrapers, spiders) to access the Site without our express written permission.
  • Reverse engineer, decompile, or disassemble any portion of the Site or Services except where prohibited by law.
  1. Intellectual Property

All content on the Site and within the Services (including text, graphics, logos, images, videos, and software) is owned by or licensed to Wingman and is protected by intellectual property laws. You may view and download limited materials for personal, non-commercial use related to evaluating our Services, provided you do not remove proprietary notices. Any other use requires our prior written consent.

  1. Third-Party Services; Links

The Site or Services may integrate or link to third-party platforms and providers, including Avestor, Go High Level (GHL), hosting providers, analytics providers, and KYC/AML or verification vendors. Third-party services are governed by their own terms and privacy policies, and your use of them is at your own risk. We do not control and are not responsible for third-party content, availability, or practices.

  1. SMS/MMS Messaging Terms (A2P/10DLC)

This Section applies if you opt in to receive SMS/MMS messages from Wingman (including messages sent through our service providers).

10.1 Program Purpose

If you opt in, we may send SMS/MMS messages relating to: (a) customer support and service communications; (b) investor communications (including reminders, document requests, portal notices, and scheduling); and (c) marketing and promotional messages, including alerts about new offerings, webinars, and updates about Wingman’s services (as permitted by law).

10.2 Consent

By providing your mobile number and opting in, you authorize Wingman to send SMS/MMS messages to that number using automated technology. Consent is not a condition of purchase or investment, and you may opt out at any time.

10.3 Message Frequency

Message frequency varies based on your interactions with us and our offering and communication cadence.

10.4 Costs

Message and data rates may apply. Check with your wireless provider for details.

10.5 Opt-Out and Help

To stop receiving messages, reply STOP at any time. To request help, reply HELP. You may also contact us at support@wingmanwealthfunds.com. After you text STOP, you may receive one final message confirming your opt-out.

10.6 Carrier Disclaimer

Wireless carriers are not liable for delayed or undelivered messages. Messaging availability may vary by carrier and device.

10.7 Mobile Opt-In Data

Mobile opt-in data and consent information will not be shared or sold to third parties or affiliates for their marketing or promotional purposes.

THE SITE, SERVICES, AND CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WINGMAN DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

  1. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WINGMAN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  1. Indemnification

You agree to indemnify, defend, and hold harmless Wingman and its affiliates, managers, members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site or Services, your violation of these Terms, or your violation of applicable law.

  1. Dispute Resolution; Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

Except where prohibited by law, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, the Services, or SMS/MMS messaging (each, a “Dispute”) will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in Newnan, Georgia, unless the parties agree otherwise. The Federal Arbitration Act (FAA) governs this arbitration agreement.

CLASS ACTION WAIVER: YOU AND WINGMAN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Nothing in this Section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened misuse of intellectual property or confidential information.

  1. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles, except that the FAA governs Section 14 (Arbitration).
